1. General provisions
These terms and conditions govern the relationship between Rafano s.r.o., which operates the LUCERO trade name (the “supplier”), and the client ordering services in the field of website development, web applications and related digital services.
2. Subject matter
The subject matter is the design, development and delivery of a digital product (a website, web application, AI integration or other services) according to the specification agreed with the client.
3. Orders and quotes
Cooperation starts with a free, non-binding consultation. Based on the client’s requirements, the supplier prepares a quote that is valid for 14 days from delivery. A contractual relationship arises once the quote is accepted.
4. Price and payment terms
- The project price is set individually in the quote.
- For larger projects, a 50% deposit is normally paid when work begins and 50% upon delivery.
- Invoices are due within 14 days of issue.
5. Delivery and handover
The delivery date is set individually according to the project scope. The supplier keeps the client informed about the project’s progress. The work is considered handed over once it is made available on the production domain or upon a written handover protocol.
6. Warranty and support
The supplier provides a 6-month warranty on the work performed, covering the repair of demonstrable defects. The warranty does not cover subsequent changes initiated by the client or failures caused by third parties.
7. Copyright
The client obtains a licence to use the work for its own business purposes upon full payment of the price. The supplier reserves the right to present the work in its portfolio and marketing materials.
8. Withdrawal from the contract
Either party may withdraw from the contract if the other party materially breaches its contractual obligations. Work already performed and costs incurred will be invoiced.
9. Final provisions
Matters not covered by these terms are governed by the Slovak Commercial Code and other laws of the Slovak Republic. These terms are effective from the date stated above.
